Reports to: Chief Financial Officer
Department: Finance
Location: Any US Location (Headquarters based in Atlanta, GA)
Position Summary: Responsible for reviewing range of legal documents, including vendor contracts, revenue contracts, license agreements, and funding proposals. Oversees contract lifecycle and document management systems. Supports CFO and VP of Finance and Operations in negotiating contracts for operational services (e.g., shipping and payment vendors, travel agent, facilities management services, etc.).
Position Functions and Responsibilities include:
- Essential Functions and Responsibilities
- Reviews and drafts legal documents, to include contracts, amendments, statements of work, and legal notices; provides advice and interpretation of legal, contract, and subcontract terms and conditions to minimize risk and potential liabilities.
- Oversees requests for proposals and procurement for operational services.
- Develops, implements, and oversees contract management system; participates in enterprise process working groups. Leads contracts reporting utilizing Salesforce and Excel.
- Implements improvements to enhance contract review and flow down processes.
- Coordinates communication with internal and external stakeholders with regards to negotiation of relationships, responsibilities, and contract terms.
- Supports risk management function, to include evaluating vendor insurance waiver requests and coordinating with insurance advisor on contract-related insurance requirements.
- Advises on intellectual property matters, to include drafting releases and supporting Chief Marketing and External Affairs Officer on copyright and trademark review with external counsel.
- Coordinates with external legal counsel on contract and program-related review requests.
- Manages state business registration filings.

Core Knowledge, Skills and Abilities:
- Broad legal knowledge applicable to business needs of large nonprofit, including operation of terms affecting liability and intellectual property rights; possess knowledge necessary to analyze legal documents and draw conclusions about organizational risk and to identify where referral to external counsel is warranted. Position requires knowledge of key nonprofit business operations as necessary to coordinate with accounting, human resources, facilities, programs, and external legal counsel.
- Superior writing skills required; high degree of proficiency with MS Office (Word and Excel), Salesforce, Adobe Acrobat, and DocuSign (or other electronic signature platform).
- Must be highly organized with strong attention to detail and accuracy, an effective communicator, possess good interpersonal and presentation skills and be able to work in a fast-paced team environment.
Requirements:
- Bachelor’s degree required; Juris Doctor preferred
- Experience
- Minimum of 5 years’ experience (8 years preferred) in transactional legal work or nonprofit operations, or combination thereof; specifically, 5 years in experience in contract administration, negotiation and procurement.
- Preference for candidate who is eligible to become a notary public within 30 days of hire
