About Your Role
RealtyMogul is seeking an exceptional and experienced attorney to help grow our business. Your role will be to draft, review and negotiate legal agreements, offering materials and related documentation for single asset syndications and investments sourced for our family of Real Estate Investment Trusts (“REITs”). Your impact will be immediate and critical to successfully scaling RealtyMogul as the leading online real estate investment platform.
What You’ll Do:
- Draft, review and negotiate legal agreements, offering materials, and related documentation for real estate transactions participating as either a General Partner (“GP”) or Limited Partner (“LP”).
- For GP deals, negotiate PSAs, term sheets and loan agreements to acquire multifamily real estate transactions
- For LP deals, negotiate term sheets for third-party sponsors to use the RealtyMogul platform to raise equity capital and manage a team of outside law firms to prepare and finalize operating agreements, private placement memorandum and subscription agreements
- Review documents and RealtyMogul website content for consistency and adherence to regulations and corporate standards
- Provide counsel on how to compliantly structure real estate investments to avoid RIA/ERA licensing requirements and be able to rely on the 3c5c exemption.
- Provide counsel on securities related issues regarding specific syndications and our family of REITs
- Prepare regulatory filings for (2) public, non-traded REITs managed by an RIA
Who You Are:
- Minimum of 5 years of securities/ real estate experience
- Deep understanding of securities law including Investment Company Act exemptions and REIT requirements.
- Experience negotiating joint venture equity documents.
- Enjoy multi-tasking and working on 10+ real estate transactions simultaneously through management of third parties
- Professionally persistent and have grace and composure under pressure
- Excellent written and verbal communication skills
- Comfortable in an entrepreneurial environment where iteration and a fast pace is the norm
