We’re seeking a future team member for the role of Counsel – Commercial Law Group to join our Legal team. This role is located in Manchester or Edinburgh

 

 

Job Purpose/Responsibilities

 

This is a position in the Commercial Law Group (CLG) of the BNY Mellon Legal Department, involving vendor management and other third-party governance activities. This position will engage in negotiations of vendor contracts focusing primarily on technology procurement (e.g., software development, licensing and maintenance agreements, application hosting agreements, outsourcing agreements and hardware leasing and purchase agreements) as well as agreements for procurement of other goods and services including consulting services, business process outsourcing, and information technology-related services. This position will also support and advise the firm’s Third-Party Governance and Procurement groups to maintain, enhance and execute a robust governance program that complies with all applicable global regulations and the firm’s risk appetite. This includes keeping up to date on the latest regulatory developments in the fields of vendor management and third-party governance, guiding the implementation of changes necessary to comply with regulatory changes, advising Line of Business attorneys in client contract negotiations, and assistance in preparations for discussions with and examinations by regulatory agencies.

 

 

Requirements:

 

  • Legal Degree, previous experience working in Legal practice focusing on negotiating software licensing and development contracts, technology and business outsourcing transactions
  • 3 years + PQE in a law firm or in-house legal department. In-house experience at a financial institution is an advantage
  • Experience with vendor management and third party governance
  • Demonstrable ability to quickly analyse problems and to devise and deliver appropriate solutions;
  • Knowledge of regulatory guidance on outsourcing and other third party relationships (e.g., EBA, FFIEC, HKMA)
  • Knowledge of global privacy laws (e.g., GDPR, GLBA, CCPA) is a plus
  • Ability to handle and prioritize multiple tasks to deliver timely, excellent work product in a pressurized environment.
  • Ability to interact effectively with and guide clients and legal counsel.
  • Excellent written and oral communication skills.
  • Experience with contract lifecycle management tools is a plus.
  • Creative thinker with a high degree of self-motivation and ability to work both independently and as part of a global team
