We are looking for a talented Corporate Paralegal to join our corporate team for our Legal function in Indianapolis, Indiana.
In this role, you will make an impact in the following ways:
* Corporate Record Keeping: Review and update corporate entity records for Cummins family of entities including: preparation of annual resolutions, bylaw and operating agreement amendments; management of master entity records; and performing an annual audit of entity directors and officers for all Cummins family of entities.
* Corporate Governance and Commercial Support: Serve as a liaison to in-house counsel, outside counsel and representatives of the Corporation, including its various business units, functions and Supply Chain, to effectively manage flow of information in a variety of transactions, including contract negotiations with suppliers, formation and dissolution of joint ventures and subsidiaries, financing arrangements, corporate restructurings, tax matters, corporate secretarial and real property matters.
* Transaction Support: Assist lawyers with all aspects of transactional work. This will include, but not be limited to:
+ Assisting with due diligence, including organizing responses to Cummins due diligence requests, preparation and tracking of consent and notice letters.
+ Assisting with Know-Your-Customer (KYC) requests, including organizing responses to Cummins KYC requests from banks, suppliers and/or customers.
+ Maintaining / organizing preliminary agreements such as non-disclosure agreements and letters of intent; and preparation of closing documents and closing binders.
* Document Preparation: Basic document preparation and drafting including, but not limited to, board resolutions, corporate minutes, and government filings, responses to government requests for information and basic intercompany agreements such as loans.
To be successful in this role you will need the following:
* Minimum 10 years of experience in a similar role in a law firm or corporate legal environment supporting transactional matters.
* Strong critical thinking skills with the ability to follow instructions, and the good judgment to ask questions when necessary.
* Excellent organizational and communication (both written and verbal) skills.
* High attention to detail and accuracy.
* Proactive attitude, comfortable taking initiative.
* Excellent client service skills and ability to work on multiple matters simultaneously.
