Full-Time Senior Counsel – Commercial Contracting
Job Description
This is a position within the Legal Department for a lawyer with strong commercial contracting skills and the ability to deliver business-oriented, effective and efficient legal services and project management. The Senior Counsel will provide general legal counsel to AmerisourceBergen’s Pharmaceutical Distribution & Strategic Global Sourcing segment (D&S) business teams and will focus on counseling and negotiating commercial transactions for the health systems distribution business unit and other business units that are part of D&S’s Health Systems & Specialty Care Solutions group.
The Senior Counsel will report to the Company’s Vice President and Associate General Counsel for Health Systems & Specialty Care Solutions, or other designated managing attorney. The candidate will act as a proactive business partner in achieving the Company’s business goals and objectives, while protecting the Company’s interests from a legal perspective by identifying and managing regulatory and other risks as well as providing timely, accurate and effective legal advice.
The role will be based in Conshohocken, PA at the Company’s headquarters.
Primary Duties and Responsibilities:
- Prepare, review and negotiate various commercial contracts for D&S’s health systems distribution business and the Company’s hospital pharmacy consulting affiliate, including group purchasing organization member agreements, vendor agreements and prime vendor agreements; marketing services agreements; consulting agreements; letters of intent; confidentiality agreements; and technology and licensing agreements.
- Provide legal assistance and regulatory guidance across Health Systems & Specialty Care Solutions organization, with a particular emphasis on hospital-facing activity.
- Build relationships with internal business clients through a responsive, collaborative and solution oriented approach.
- Conduct regulatory training and work with the compliance team to ensure that policies and procedures are in place to protect the interests of the business.
- Ensure that all contracts or agreements accurately reflect business objectives as well as compliance with all laws and regulatory requirements.
- Appraise and keep management informed about the impact of legislative, judicial, and regulatory developments affecting the policies and operations of the business.
- Work collaboratively with other associates in the Legal Department, as well as Company executives and business unit leaders of various operating divisions.
- Select and manage outside counsel, including establishing procedures for evaluating the quality and cost of services, on an as-needed basis.
- Participate in business development meetings and strategic planning sessions to ensure commitments and obligations are in the Company’s best interest and no conflict of interest or other issues exist.
- Performs related duties as assigned.
EXPERIENCE AND EDUCATIONAL REQUIREMENTS:
Law Degree – must be a graduate of an accredited law school and admitted into the State bar association. At least three years’ experience with emphasis on drafting, healthcare regulatory and corporate and commercial matters. Law firm experience in commercial transactions and/or mergers and acquisitions preferred. Experience in government contracting is a plus.
The lawyer in this role is comparable to a junior or mid-level associate in a law firm and is a lawyer who has demonstrated ability to perform sophisticated work as an individual contributor (with appropriate guidance and oversight from his or her manager in most instances).
Minimum Skills, Knowledge, and Ability Requirements:
- Strong background in contract law, commercial transactions, negotiations and document preparation.
- Provide legal services in a responsive and efficient manner, collaborating with other legal and business personnel in a team oriented environment
- Excellent interpersonal and communication skills and experience in dealing with people at all levels inside and outside of a company or firm and proven relationship building skills
- Goal and process oriented, with a demonstrated ability to prioritize tasks; experience and judgment to plan and accomplish objectives in efficient manner
- Hands-on attorney who can manage his/her own matters, with limited use or reliance upon outside counsel
- Excellent communication skills, both oral and written
- Team player with passion, energy and commitment
- Excellent judgment and ability to resolve complex issues effectively
- Strong negotiating skills
