Full-Time Specialist- Corporate Governance, Paralegal (11569)
Job Description
The incumbent for this position will work with a team of governance specialists under the guidance of Counsel, to provide corporate secretarial support to domestic subsidiaries of the corporation. The incumbent will be granted moderate to broad latitude in making independent decisions within defined parameters. The individual chosen for this position will have the opportunity to work on sophisticated matters with a congenial group. This is a Pittsburgh based position.
Responsibilities include, but are not limited to:
- planning and support of subsidiary board meetings,
- preparation of meeting minutes,
- preparation and execution of written consents and resolutions for a variety of board actions,
- preparation of secretary/incumbency certificates,
- maintenance of appropriate subsidiary records (both hard copy and automated),
- maintenance of signing authority framework for subsidiaries,
- assistance with formation and dissolution of subsidiaries/joint ventures/affiliates, and
- support of special corporate governance projects as required.
Qualifications:
A paralegal certificate from a business school, college or university, or for equivalent work experience in the corporate governance field (8+ years) is required, a bachelor’s degree is preferred. Experience as a paralegal will be in a corporate, government or private legal firm environment. Strong analytical skills; excellent writing skills; good to excellent presentation skills; proven planning and organizational skills; proven ability to deliver precise and timely work products; demonstrated leadership and ability to delegate; proven ability to handle multiple tasks and requests; demonstrated initiative and high work standards are essential.
