Job Description

Under the general supervision of the designated Assistant General Counsel, provides legal advice and assistance to support business groups at AmerisourceBergen Corporation (the “Company”), with a focus on Strategic Global Sourcing. The candidate will act as a proactive business partner in achieving the Company’s business goals and objectives, while protecting the Company’s interests from a legal perspective by identifying and managing risks as well as providing timely, accurate and effective legal advice.

The role can be based in Conshohocken, PA or Carrollton, TX. 

1. Drafts, negotiates and reviews commercial contracts, with an emphasis on distribution agreements with brand, specialty, plasma, vaccine, biosimilar and cell and gene product manufacturers.  Reviews other business agreements, as requested, including logistic services agreements, master services agreements, statements of work, data reporting agreements, consulting and vendor agreements and confidentiality agreements to ensure that these contracts accurately express the Company’s objectives and minimize legal risk. Works closely with contract managers on all phases of negotiation with product suppliers.
2. Advises the business on regulatory matters, such as United States Food and Drug Administration compliance, Drug Enforcement Agency compliance, anti-trust, Anti-Kickback, price reporting and other healthcare regulatory matters.
3. Drafts and updates agreement templates for the business’s Strategic Global Sourcing team. 
4. Works closely with executives and key associates of the Corporation and its subsidiaries on matters relating to the legal affairs of the Company.
5. Develops workflow processes to ensure Company is complying with contractual deliverables and obligations.
6. Responsible for foreseeing and protecting the Company against legal risks.
7. Provides general business counsel and performs related duties as assigned.

EXPERIENCE AND EDUCATIONAL REQUIREMENTS:

Requires broad training in fields such as business administration, accountancy, sales, marketing, computer sciences or similar vocations generally obtained through completion of a four year Bachelor’s Degree program. Law Degree – must be a graduate of an accredited law school and admitted into the state bar in good standing or must have ability to obtain Texas or Pennsylvania in-house counsel admission. The lawyer in this role is comparable to a senior associate or counsel in a law firm and is a lawyer who can do sophisticated work as an individual contributor (with minimal guidance and oversight from his or her manager in most instances) and/or supervise and project manage other individual legal professionals to do the work. Must have a minimum of 5 to 8 years of experience as a lawyer with progressively increasing responsibility and directly related experience in practicing transactional law.

MINIMUM SKILLS, KNOWLEDGE AND ABILITY REQUIREMENTS:

1. Experience in healthcare or pharmaceuticals industry preferred, with a strong preference for in-house experience at a pharmaceutical manufacturer
2. Significant training and practical experience in corporate and commercial practice, including preparation and negotiation of business contracts and general business counseling
3. Strong negotiating and leadership skills
4. Strong business acumen
5. Ability to communicate effectively both orally and in writing
6. Strong interpersonal skills
7. Ability to multi-task and juggle multiple and competing projects and priorities
8. Excellent judgment and ability to resolve complex issues effectively
