Full-Time Senior Analyst, Paralegal ( M&A and Real Estate) (2107161)
Job Description
Support corporate and real estate attorneys on M&A and real estate transactions, corporate restructurings, recovery and resolution planning, and general corporate and administrative matters. The paralegal will work closely with senior lawyers and business managers.
Responsibilities include:
- Assisting attorneys on M&A transactions and other transactional matters by organizing, redacting and reviewing due diligence materials; preparing due diligence summaries; creating closing checklists; managing closings; preparing resolutions, certificates and other transaction documents; coordinating the execution and delivery of documents; preparing desk copies for attorneys; and updating and maintaining transaction files and databases
- Assisting attorneys with facilities management projects by conforming documentation to comply with local requirements; coordinating execution of documents (creating signature pages, confirming signing authority and collecting executed signature pages); researching real estate documentation in CoStar database; and preparing first drafts of letters and agreements using standard forms
- Assisting attorneys in the negotiation and maintenance of confidentiality agreements by reviewing and preparing comments to draft agreements for review by the attorneys; obtaining necessary signatures; cross-checking parties against control lists; and maintaining a database of executed confidentiality agreements
- Preparing PowerPoint presentations, Excel spreadsheets, and other documents
- Maintaining project folders in iManage document management system, including helping to create and structure project folders and upload documents
- Providing administrative support to one or more company committees by managing agendas, preparing first drafts of presentation materials, taking meeting minutes, and maintaining committee SharePoint site.
- Coordinating tasks with the Corporate Secretary’s offices in the US, EMEA, and APAC, and other paralegals and support personnel
- Preparing documents for legal entity formation, dissolution and governance
- Other support for M&A and Real Estate attorneys as requested
BA; 3+ years of experience with corporate, M&A and/or real estate transactions in a law firm or large corporate law department; proficiency using Microsoft Office and PDF software; experience with document management system is a plus; excellent verbal, written, and presentation skills; ability to deal effectively with all employees and external business contacts while conveying a positive, service-oriented attitude; exceptional attention to detail and strong organizational skills; ability to remain productive while working independently; ability to handle confidential information sensitively and discreetly
