Full-Time Paralegal – Banking and Finance

Thompson Coburn LLP, a large, full-service law firm with offices in seven cities nationwide, currently has a non-exempt position available in our Los Angeles office for a full-time Paralegal to work with our Banking and Finance practice group. Qualified candidates will have a minimum of two years of banking and finance experience and will possess one of the requirements under the California Business & Professions Code § 6450 (c).  The ideal candidate will be detail-oriented and able to excel in a fast-paced environment. This position is eligible for a hybrid-remote work schedule.

Job Responsibilities

  • Drafts UCC financing statements and subsequent amendments, assignments, or terminations with appropriate state and local agencies.
  •  Conducts public records search of the parties, including judgments, tax liens, litigation, bankruptcy and UCC filings.
  • Reviews and organizes results of public records search.
  • Conducts public records search of the USPTO and Copyright office.
  • Reviews and organizes results of USPTO and Copyright office searches.
  • Assists with legal due diligence.
  • Prepares ancillary transactions documents.
  • Prepares and maintains transaction checklist.
  • Coordinates various aspects of closing, including preparing signature page packets, assembly and preparation of final, executed closing documents, assists with closing arrangements and distribution of closing materials.
  • Assists with post-closing tasks, including preparing and reviewing complex transaction closing binders and maintaining legal files.
  • Reviews title reports and prepares title memos for obtaining title policies.
  • Reviews surveys and zoning reports for compliance with client standards.
  • Reviews corporate organizational documents (including good standing certificates, bylaws, operating agreements, and articles or certificate of incorporation/formation).
  • Reviews secretary’s certificates and authorizing resolutions for board of directors and stockholder approval, as necessary.
  • Assists other practice areas, as needed.
  • Must track all billable hours.
Job Requirements
  • Must possess a high level of professionalism and interpersonal skills so as to be able to work well with employees at all levels within the organization and maintain all information in the strictest of confidence.  Required to use tact and diplomacy when dealing with others.
  • Must have the ability to read, write and communicate fluent English; ability to compose documents in the appropriate business style using correct grammar and spelling; ability to communicate clearly using proper grammar and diction over the telephone.
  • Must be detail-oriented and have excellent organizational skills; ability to balance multiple projects, work independently and have strong time management skills, as well as prioritize work load.
  • Must have the ability to reason and apply common-sense understanding to situations encountered.
  • Ability to process routine daily functions while being able to resolve sensitive issues and complex assignments utilizing above average critical thinking skills.
  • The physical demands for this position are representative of those that must be met by an employee in order for him or her to successfully perform the essential functions of the position.  These include being both mobile and stationary throughout the work day, having the ability to transport 20 pounds and being able to operate a computer and other business equipment found in the office.
  • Ability to work overtime as needed.
