Job Description
- OBJECTIVE: Oversight and development of a fully formed Enterprise Risk Management function that will
support the Company and any affiliated companies or banks.
ESSENTIAL FUNCTIONS
The following is a list of essential functions, which may be subject to change at any time and without
advance notice. Management may assign new duties, reassign existing duties, or eliminate a function. - Monitor and report on all regulatory examinations including organization and review material requested; coordinate and participate in exit conferences; follow-up on all regulatory findings, including preparing written responses to the examiners. “Regulatory Agencies” include the Federal
Reserve, FDIC, PA DoBs and other agencies the bank may be regulated by. - Act as the liaison for Regulatory Agency Exams by coordinating/participating in pre-planning discussions and exit meetings, facilitating the gathering of requested documentation, and managing the exam agency’s expectations and regulatory concerns/findings.
- Responsible for ensuring the timely and accurate submission of regulatory reports and compliance summaries to the Regulatory Agencies and other relevant authorities.
- Accountable for monitoring new regulations that are put in place and insuring plans are put in
place and actions taken to comply with them. - Manage the oversight and remediation of matters requiring attention (MRAs), matters requiring immediate attention (MRIAs), matters requiring Board attention (MRBAs), and supervisory recommendations arising from Regulatory Agency examinations and audits.
- Lead the design and execution of a comprehensive Enterprise Risk Management (ERM) program, emphasizing stringent business controls, and promote Fair and Responsible Banking practices to fortify the organization’s risk resilience and ethical conduct.
- Prepare and submit annual regulatory reports to the Regulatory Agencies. Ensure compliance with state laws and regulations; including Other Real Estate Owned Reporting and the election of
Officers and/or Directors. - Coordination with General Counsel on overlapping Risk/Legal/Regulatory matters.
- Partner closely with the Chief Credit Officer to monitor the credit health of the bank.
- Manage various functions of the Bank including Risk Management, Compliance, AML/BSA, Security/Fraud, Information and Cyber Security, the Loan Review Process, and Vendor Management.
- Coordination of risk management training programs and annual policy review.
- Manage and oversee the branch/store/office applications and notifications process for new, closed, relocated, or consolidated locations in compliance with Regulatory Agency regulations and guidelines.
- Ensure payment of FDIC Assessment Invoices through FDICConnect.
- Ensure compliance with Regulation O regarding Finance Reporting, Overdraft Monitoring and Decisioning, and annual Director and Executive Officer Training communications.
- Collaborate with business and IT units to assess, prioritize, and monitor risks; safeguard the security and privacy of Bank and customer information.
- Serve as a Chairperson for MERC and report on Risk Management to the Board and ERC.
- Attend Management Committees and participate in voting and/or not voting on:
▪ ALCO & Pricing Committee
▪ Liquidity Management Team
▪ Compliance Committee
▪ Community Engagement & Reinvestment Committee
▪ Asset Quality Committee (includes CECL)
▪ IT & Operations Committee
▪ New Products and Services Committee
- Participate in new product and service development.
- Work with the Senior Management team in understanding the risks associated with the development
of short- and long-term strategic plans and policies. - Oversee and manage Complaint Management, ensuring the effective resolution and mitigation of customer complaints while aligning with regulatory standards and organizational risk management strategies.
- Adhere to regulatory mandates, including but not limited to BSA/AML, GLB/Privacy, Ethics for Bankers, and Pretext Calling and Identity Theft. Successfully complete Compliance Training to demonstrate a comprehensive understanding of these requirements, as outlined in the Bank’s core curriculum and the specific curriculum for this position at Republic Bank University.
- Assume other responsibilities as required.
REQUIREMENTS/QUALIFICATIONS
Education and Experience:
- Bachelor’s degree or equivalent, with a concentration in Business Administration/Accounting Economics.
Ten years’ experience in Financial/Regulatory Compliance/Risk Management.
Excellent communications skills; written and verbal. - Complete understanding of the banking environment and all applicable regulations.
- Strong understanding of credit, underwriting and CECL modeling.
