Full-Time Senior Counsel – Commercial Contracting – Posted by Conshohocken, Pennsylvania, United States

Job Description



This is a position within the Legal Department for a lawyer with strong commercial contracting skills and the ability to deliver business-oriented, effective and efficient legal services, project management, and strategic counseling.  The Senior Counsel will provide general legal counsel to AmerisourceBergen’s Pharmaceutical Distribution & Strategic Global Sourcing segment (D&S) and will focus on negotiating commercial transactions for the business units comprising Community Pharmacy, Health Systems, & Specialty Distribution.

The Senior Counsel position is expected to act as a proactive business partner in achieving the Company’s business goals and objectives, while protecting the Company’s interests from a legal perspective by identifying and managing regulatory and other risks as well as providing timely, accurate and effective legal advice.

  1. Prepare, review and negotiate various commercial contracts for D&S business teams, including prime vendor agreements, other customer-facing agreements, and vendor agreements, marketing services agreements, consulting agreements, letters of intent, and confidentiality agreements. 
  2. Provide legal assistance and regulatory guidance across the D&S organization, with a particular emphasis on the Anti-Kickback statute.
  3. Build relationships with internal business clients through a responsive, collaborative and solution oriented approach.
  4. Conduct regulatory training and work with the compliance team to ensure that policies and procedures are in place to protect the interests of the business.
  5. Ensure that all contracts or agreements accurately reflect business objectives as well as compliance with all laws and regulatory requirements.
  6. Appraise and keep management informed about the impact of legislative, judicial, and regulatory developments affecting the policies and operations of the business.
  7. Work collaboratively with other associates in the Legal Department, as well as Company executives and business unit leaders of various operating divisions.
  8. Select and manage outside counsel, including establishing procedures for evaluating the quality and cost of services, on an as-needed basis.
  9. Participate in business development meetings and strategic planning sessions to ensure commitments and obligations are in the Company’s best interest and no conflict of interest or other issues exist.
  10. Performs related duties as assigned. 



Must have a minimum of 4 to 8 years of experience as a lawyer with progressively responsible experience in drafting commercial contracts and negotiating commercial transactions. Must be a graduate of an accredited law school and admitted into the state bar.  Law firm experience in commercial transactions, healthcare regulatory expertise and/or mergers and acquisitions preferred.

The lawyer in this role is comparable to a senior associate or counsel in a law firm and is a lawyer who has demonstrated ability to perform sophisticated work as an individual contributor (with minimal guidance and oversight from his or her manager in most instances) and/or supervise and project manage other individual legal professionals to do the work.


  1. Strong background in contract law, commercial transactions, negotiations and document preparation
  2. Basic understanding of financial concepts, as well as mergers and acquisitions
  3. Provide legal services in a responsive and efficient manner, collaborating with other legal and business personnel in a team oriented environment
  4. Excellent interpersonal and communication skills and experience in dealing with people at all levels inside and outside of a company or firm and proven relationship building skills
  5. Goal and process oriented, with a demonstrated ability to prioritize tasks; experience and judgment to plan and accomplish objectives in efficient manner
  6. Hands-on attorney who can manage his/her own matters, with limited use or reliance upon outside counsel
  7. Ability to manage multiple projects at once
  8. Excellent communicate skills, both oral and written
  9. Team player with passion, energy and commitment
  10. Excellent judgment and ability to resolve complex issues effectively
  11. Strong negotiating skills
  12. Strong presentation skills
  13. Strong organizational skills; attention to detail
  14. Ability to follow and interpret legal trends
  15. Knowledge of Microsoft Word, Excel and PowerPoint
