About Your Role

RealtyMogul is seeking an exceptional and experienced Corporate & Securities Paralegal to be a crucial part of our team. Your role will be to support the legal and compliance team on all matters, including corporate governance, recordkeeping, compliance, securities and other regulatory filings, commercial contracts, human resources, intellectual property, etc.  The ideal candidate for this role will be meticulous, resourceful and intellectually curious, with a desire to learn and support in a wide variety of areas. The position reports directly to the VP, Legal & Chief Compliance Officer.

What You’ll Do 

  • Assist with corporate governance, including preparation of board meeting materials and minutes/resolutions, organization and maintenance of corporate minute books, and equity plan administration and cap table management.
  • Assist with federal and state regulatory filings and compliance documentation, including SEC filings and Secretary of State filings.
  • Assist with compliance administration, including updating and maintaining legal and compliance policies and procedures.
  • Assist with preparing legal agreements, offering materials and related documents for securities offerings and real estate transactions.
  • Organize and maintain legal and compliance files, books and records.
  • Coordinate and communicate with internal and external parties on various legal and compliance related matters.
  • Assist with special projects as needed, with the ability to work in an ever-changing environment.

Who You Are

  • Bachelor’s Degree and/or paralegal certificate from an ABA-approved program.
  • 5+ years of corporate paralegal or similar experience.
  • Strong attention to detail, impeccable organizational skills, and excellent written and verbal communication skills.
  • Ability to prioritize and manage multiple tasks in an effective and timely manner.
  • Ability to learn quickly and willingness and desire to take on new challenges.
  • Resourceful and intellectually curious self-starter, with the ability to work independently and as a team member.
  • Highly ethical and value compliance and confidentiality.
  • Adept with desktop applications and MS Office suite.
